MAIN TERMS FOR COMPANY SECRETARY & REGISTERED OFFICE ADDRESS SERVICES
- This agreement is offered by AB Services Limited (Service Provider) and is accepted by the applicant of company secretary service and / or registered office address service (Customer), both executing those terms and conditions stated in this.
- This agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (“HKSAR”) and the parties hereby irrevocably submit to the non-exclusive jurisdiction of the Courts of the HKSAR.
- Service Provider may relocate their offices to other locations, and this may require a change of the company’s registered office address. The Service Provider undertakes to give the Customer as much advance notice as possible of any such action, but the Service Provider shall not be liable for any costs incurred thereby.
- The Service Provider will conduct professional appraisals of services requested by the Customer and reserves the right to make the final decision.
- Under the following circumstances, the Service Provider reserves all rights to terminate services and resign as the Company Secretary without any prior notice. The Service Provider shall bear no legal responsibilities nor shall be liable for any claims or compensation for discontinuing services.
- The Customer has failed to settle any service fees or to renew business registration on time; or to submit necessary documents required by the law of HK SAR;
- In suspicion of the Customer is involving or carrying out a fraud and any illegal or improper activities;
- In suspicion of the Customer is using provided services to hold any promotional sales or public recruitment events;
- In suspicion of the Customer is transferring or assigning any or part of the services to any other parties, without the prior authorization from the Service Provider;
- The customer, or any contact person(s) of the Customer is ordered to pay debt by phone calls, letters, by person, etc;
- The Customer, or any contact person(s) of the Customer has caused any third party to disturb the operation at any service point of the Service Provider to claim for lost, protest, etc;
- The Customer, or any contact person(s) of the Customer has caused the press and media to arrive at any service point of the Service Provider for interview, filming or taking photograph;
- The Customer is involved in any kind of legal action;
- The customers who fail to provide true and correct information, or necessary documents within the set time limit to the Service Provider for completion of customer due diligence procedures.
- The Customer understands and agrees that in this agreement the Service Provider does not guarantee that it will sign applications for the Customer, including but not limited to government or law enforcement agencies to declare the use of company secretarial services and / or registered office address services. The service provider may require 7 to 14 days to review the relevant documents, and may induce additional charges for endorsing the associated documents. The service provider reserves the right to refuse to endorse any documents, and to submit the notification of termination of relevant authorization to the government and law enforcement agencies.
- Should any disputes arise, the decision of the Service Provider shall be final.
LIMITATION OF LIABILITY
- The Customer acknowledges that due to the imperfect nature of verbal, written and electronic communications, the Service Provider is not responsible for any failure to render any service, any error or omission, or any delay or interruption of any service, the so le obligation is limited to the service charges during the affected period.
- The Customer agrees to waive, and agrees not to make, any claims for damages, direct or consequential, including with respect to lost business or profits, arising out of any failure to furnish any service, any error or omission with respect there to, or any delay or interruption of services.
- The Service Provider agrees that no information of the Customer would be sell to any third party without consent from the Customer.
CONTRACT PERIOD
- The first contract period will be the period started to the date of service commenced to the last date of the period covered within the first payment. The contract period will be extended according to the period covered of each payment of the Customer afterward, and the content of this agreement will be applicable within the extended contract period.
- The Customer is not allowed to terminate the services before the end date of the first contract period unless prior approval from the Service Provider is obtained.
- Service fee will not be refund for early termination.
ACCOUNT & AUDIT
- When the Customer submits the information, it means that the Customer has confirmed that the submitted information is accurate. Customer agrees to be fully responsible for any costs or liabilities incurred as a result of incorrect information submitted.
- The Service Provider will make a quotation based on the information provided by the Customer. If the final information provided by the Customer is different, the Service Provider may increase the service charge according to the increased workload.
ABOUT SERVICE AND PAYMENT
- Customers are required to renew / terminate the service with the service provider 1 month before the expiry date of the service period. Otherwise, the resignation form of company secretary will be submitted to Companies Registry.
- The Customer shall pay the fees before the due date specified on the relevant invoices, or the Service Provider has the right to suspend the services to the Customer. The Customer has the responsibility to make sure that their payments are received and identified by the Service Provider before the due date specified on the relevant invoices.
- The Customer understands and agrees that if the payment is made by cheque, the Service Provider would provide service(s) only after the cheque is cashed.
- The Customer understands and agrees that the paid amount is the remitted amount deducting all the bank charges (if any) that arrives at the Bank account of the Service Provider. The Customer has to bear the bank charges of both sides. The Service Provider reserves the right of NOT providing service until the total amount is received.
- The Customer shall hold full responsibilities for authorizing each payment. The Service Provider reserves all rights to charge administration fee for cancelling or reversing the authorized payment(s).
- If Customer requests to reactive the services which has been suspended by the Service Provider due to late payment or overdue situation, the Service Provider shall charge the Customer the service fees for the suspended period.
- If the Customer requires to amend service instructions, contents, a written notice should be given to the Service Provider to the amendment take place, related service fees shall apply.
- if there is any Shares Transfer or Information Change of the Company Members during the past Annual year, Customer must send the related information and documents to the Service Provider 7 days prior of the anniversary of the date of the company’s incorporation of that year. Customers would be responsible if there is any missing of providing accurate information for preparing the Annual Return, and have to pay an additional fee for re-doing the Annual Return, the Customer would also be responsible for paying the late charge of Annual Return (if any).
- If the Customer has to sign the Annual Return, the signed documents must be returned to the office of the Service Provider within 30 days after the anniversary of the date of the company’s incorporation in that year, which make sure the Service Provider has enough time to arrange submission of the documents. If there is any late charge / penalty due to late submission, the Customer should hold full responsibilities. If the Customer request to submit the documents within 3 days. The Service Provider would charge HKD$500 for the special arrangement.
PRIVACY POLICY
- Customer may be asked to provide the personal information anytime when Customer is in contact with Service Provider and the affiliates. Service Provider will apply and comply with the laws and principles of the Personal Data (Privacy) Ordinance (Cap 486) of the Laws of Hong Kong in collecting, holding, processing and using personal data.
- The personal data will be used for the following purposes stated including but not limited t

- To process Customer’s order that have made with Service Provider;
- To assist Customer with any product or service enquiries;
- To notify Customer important notices, such as latest services information, services updates, special promotion and upcoming activities;
- To analyze products and services so that Service Provider can further improve products and services;
- To make the auditing, accounting, debt tracing, debt recovery, credit management and credit checks.
- Only the minimum necessary personal data will be provided to third party organization to perform its task. The third party is under a duty of confidentiality to keep personal data confidential. These third parties include, but are not limited to, the following:

- Service Provider’s holding companies, subsidiaries, or affiliates;
- Any banking or financial institutions;
- Contractors, agents and suppliers who are involved in delivering the products and services Customer have ordered and used;
- Any agent, contractor or third-party service provider who provide administrative, telecommunications, computer, payment or other services to Service Provider in connection with the operation of its business;
- Any government body, any public body, any law enforcement body, any legal adviser, any institution, any organization or any person, if required to do so by law;
- Any government body, any public body, any law enforcement body, any legal adviser, any institution, any organization or any person, if Service Provider determine that disclosure is reasonably necessary to enforce Service Provider’s terms and conditions or protect operations or users;
- The relevant third party in the event of a reorganization, merger, or sale.
- Once Service Provider have obtained the personal data, the data will be maintained securely in Service Provider’s system. Only the authorized staff, who has been properly trained, will be permitted to access to such personal data. Service Provider will also ensure compliance by staff with the strictest standards of security and confidentiality.
- Service Provider will retain the personal data for as long as is necessary to fulfill the original or directly related purpose for which it was collected and to satisfy any applicable statutory or contractual requirements.
- Customer is fully entitled to check the content of personal data which Service Provider held and to update and correct any error. To access or correct any personal data, please send email to admin@absltd.com.hk.
TERMS OF USE
- Customer’s use of this Website signifies the acceptance of these teams of use and agreement to be bound by them and any and all other application terms reference herein absolutely. Service Provider may, in our sole discretion and at any time, without notice to Customer, add to, amend or remove any information from this Website, or alter the presentation, substance, or functionality of this Website.
- All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, (collectively, “Content”), including but not limited to the design, structure, selection, coordination, expression, and arrangement of such content, contained on the site is owned, controlled or licensed by or to Service Provider, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws. Service Provider may, if necessary, participate in the defense of any claim or action and any negotiations for settlement. - 本合約由華創服務有限公司(服務供應商)提供,並由申請公司秘書及/或註冊地址的公司(客戶)同意,雙方共同履行合約內所載的條款及細則。
- 本協議受中華人民共和國香港特別行政區法律管轄,並按香港特別行政區法律闡釋,服務供應商及客戶均同意接受香港特別行政區法院的專屬管轄權所管轄。
- 服務供應商可以將其辦公室搬遷到其他地點,並且此舉可能需要更改公司的註冊辦公室地址。服務供應商承諾會就任何此類舉動盡可能提前通知客戶,但對於由此產生的任何費用,服務供應商將不承擔任何責任。
- 服務供應商會對每個服務委託的各方面因素進行評估,並對是否接受委託提供服務擁有最終決定權。
- 就以下情況,服務供應商有權終止服務並即時辭任公司秘書而不作任何通知;同時亦無須為停止提供服務,而負上法律責任或承擔任何被索償的後果:
- 客戶未能按時繳交費用,包括服務費或未能及時更新商業登記;或未按香港法例提交必要文件;
- 客戶涉嫌進行或涉及任何非法、違例或詐騙活動;
- 客戶涉嫌利用服務供應商提供的服務作展銷會或招聘會等活動;
- 客戶公司或客戶公司聯絡人因任何問題而被追數人或公司透過上門、電話或信件等等到服務供應商的服務點追討債務。債務不限於錢債,包括任何形式;
- 客戶公司或客戶公司聯絡人因任何問題而被第三者以透過上門、電話或信件等等到服務供應商的服務點進行滋擾,抗議或任何擾亂性行為;
- 客戶公司或客戶公司聯絡人因任何負面新聞而令傳媒到服務供應商的服務點進行採訪,拍攝,錄影等等行為;
- 客戶公司或客戶牽涉任何法律訴訟;
- 客戶公司遭清盤、遭執達利上門執行法庭命令、或已告解散;
- 客戶未有按服務供應商指示或未有配合安排,在限期前提交真實可靠的資料以完成一切服務供應商需要執行的盡職審查程序。
- 客戶知悉並同意在本協議中服務供應商並不保證會為客戶簽署包括但不限於政府或執法機構以申報使用公司秘書服務的申請書,服務供應商需時 7 至 14 天審視該文件,同時可能會就簽署相關文件收費。服務供應商有權拒絕簽署任何文件,亦有權向相關政府或執法機構提交取消相關授權的通知書。
- 如有任何爭議,服務供應商將保留最終決定權。
責任範圍
- 客戶已知悉因語言、文字或電子通訊的限制,如因服務受阻、延誤或中斷、或任何錯漏,服務供應商的責任只限於其服務受影響的時段的服務費,服務供應商不會因上述原因而負上其他責任。
- 客戶同意不會因服務受阻、延誤或中斷、或任何錯漏而引致的直接或間接損失(包括業務及收益之損失)而提出索償。
- 服務供應商同意在未經客戶同意的情況下,不會向第三者售賣或提供其任何資料。
合約期
- 首合約期為服務生效日期起至已繳付的服務周期完結為止。其後合約期會按照客戶每次繳付的服務周期而延續,而本合約之內容亦會於新延續的合約期內適用。
- 未經服務提供者許可下,客戶不能在首張合約時期之結束日前終止服務。
- 提早終止服務並不會退回已繳交之服務費用。
會計及審計服務條款
- 當客戶提交資料時,等同客戶已經確定所提交的資料準確無誤,並同意如果因為提交的資料有誤而導致任何費用或責任,客戶須負上所有責任。
- 服務供應商會根據客戶所提供的資料作出報價,如果客戶最終實際提供的資料有分別,服務供應商可能會按增加的工作量增加服務收費。
關於服務及付款
- 客戶須於服務到期日 1 個月前與服務供應商書面提出續約或中止服務,否則會遞交政府文件辭任公司秘書。
- 客戶應於賬單上列明的到期日前繳交有關款項,否則服務供應商有權終止其服務而不作另行通知。同時客戶有責任於到期日前確保已繳交之費用已由服務供應商收取並確認。
- 客戶知悉並清楚同意如果使用支票付款,服務供應商會等待支票兌現才提供相關服務。
- 客戶知悉並清楚同意服務供應商以實際到達服務供應商銀行帳戶的金額為準。如客戶所使用的匯款方式涉及銀行費用,客戶必須承擔雙方的銀行費用。如到帳金額不足,服務供應商有權不提供服務。
- 客戶需為自己的付款負責,客戶知悉並同意如要取消服務並退回已交款項,服務供應商將收取行政費。
- 若客戶要求重啟因延遲繳款或欠款被終止的服務,服務供應商將會向客戶收取於終止期間的相關服務費用。
- 客戶如需更改服務指令、內容,需以書面形式通知服務供應商,及繳付相關費用。
- 客戶如自行更改過公司資料,包括及不限於公司名稱、股權變動等,必須於周年日前7個工作天將相關資料以電郵通知供應商,如果因客戶的遺漏而導致周年申報表資料錯誤,客戶需另外支付更正文件收費,並可能需要支付逾期罰款。
- 客戶如需要自行簽署周年申報表或相關文件,必須將簽妥的文件正本於該年度的周年日後的30日內寄回供應商之辦事處以確保供應商有足夠時間安排提交文件及費用,如果因遲交而導致任何罰款,客戶需要自行承擔。如時間緊迫需要本公司特別安排專人前往提交,需要支付加急費HKD$500。
私隱政策
- 在客戶與服務供應商或其關聯公司接觸之時,即可能被要求提供個人資料。服務供應商會遵循並按個人資料(私隱)條例(香港法例第 486 章)的規定收集、保存、處理及使用客戶的個人資料。
- 個人資料的收集將被用於以下目的:
- 處理客戶所選購的服務訂單;
- 為滿足及迎合客戶對部分產品及服務的要求;
- 以通知客戶有關服務供應商的重要通知:最新服務,服務項目更新,特別優惠及即將舉行的活動;
- 資料分析,以更好改進產品;
- 審計,會計,負債追蹤,負債償還,負債管理及信用核審。
- 服務供應商只會提供最少及必需要的個人資料以協助第三者完成任務,第三者經承諾確保客戶的個人資料得到高度保密:
- 服務供應商的控股公司、子公司或聯營公司;
- 銀行及金融機構;
- 與服務供應商合作的承包商、代理商和供應商,以滿足客戶所訂購的產品和服務要求;
- 承包商、代理商及第三方服務提供商以便向服務供應商提供行政、電信、電腦、賬單及其它業務有關的服務;
- 服務供應商亦會在法例要求下披露客戶的個人資料;
- 若為執行服務供應商的條款或保護服務供應商的營運或使用者,而令服務供應商認為披露客戶的資料屬合理必要,則亦可能作出披露;
- 若發生公司重組、合併或出售事宜,服務供應商亦可能移轉任何及全部所收集的個人資料予相關第三方。
- 當服務供應商獲得客戶的個人資料後,會把這些資料妥善地儲存在系統中,只有經過適當培訓及授權之職員方可讀取這些個人資料。服務供應商亦保證職員對客戶的個人資料作高度保安及保密。
- 服務供應商對客戶個人資料的保存時間,不會超過將其保存以貫徹該等資料被使用於或會被使用於的目的(包括任何直接或間接有關的目的)或滿足任何適用法例及合約的要求所需的時間。
- 客戶有權知悉服務供應商所儲存的客戶個人資料內容,並可要求更改當中錯誤部份。客戶如欲查詢或更正任何個人資料,請電郵至admin@absltd.com.hk。
使用條款
- 客戶對本網頁的使用即表明客戶已完全接受本使用條款及受其約束的協議以及本使用條款中提及的所有其他適用條款。服務供應商可在任何時間行使完全酌情權,在不另通知的情況下決定在本網頁增加、修訂或從本網頁刪除任何資訊或改變本網頁的展示方式、內容或功能。
